- Provide leadership and oversight for Corporate Services and Corporate Secretarial functions, ensuring strong governance practices across the organization.
- Ensure full compliance with HOSE listing regulations, Enterprise Law, the Company Charter, and other relevant regulatory requirements across the group and its subsidiaries.
- Oversee the preparation, accuracy, and maintenance of statutory records, regulatory filings, and corporate documentation.
- Lead the coordination and execution of Board of Directors and Board Committee meetings, ensuring efficient and professional board operations.
- Oversee the preparation and distribution of meeting agendas, briefing materials, presentations, and post-meeting action reports to support effective decision-making.
- Strengthen governance frameworks and processes to enhance Board effectiveness and strategic oversight.
- Develop and implement strategic and operational plans for the Board Office, aligning activities with broader organizational priorities.
- Lead and develop teams across Corporate Services, BOD Affairs, and Investor Relations, setting clear roles, objectives, and performance standards.
- Drive operational improvements by enhancing systems, processes, and workflows to improve efficiency, coordination, and compliance.
- Manage relationships with external advisors, consultants, and service providers where required.
- Support the Board of Directors and Board of Management on strategic initiatives and special projects.
- Act as a key liaison with major shareholders and strategic stakeholders, ensuring clear and professional communication on governance matters.
- Provide analytical insights, reports, and recommendations to support senior leadership decision-making.
- Bachelor's degree in Law, Business Administration, Finance, or a related discipline.
- Minimum 10 years of experience in corporate secretarial (COMSEC) or corporate governance roles, preferably within listed companies or large corporations.
- Strong knowledge of HOSE listing regulations, Enterprise Law, corporate governance frameworks, and compliance requirements.
- Proven leadership experience with the ability to build, manage, and develop high-performing teams.
- Excellent communication, stakeholder management, and project management skills.
- Demonstrated experience working with senior executives and board-level stakeholders, ideally in international or complex organizations.
- Strong analytical thinking and problem-solving capabilities.
- High level of professionalism, integrity, discretion, and confidentiality.
- Advanced proficiency in English and Microsoft Office applications, particularly PowerPoint and Excel.
