- Collaborate with business units to manage legal and compliance risks across all business lines in Vietnam.
- Develop and implement internal controls and policies to ensure compliance with legal and ethical standards, and align with the company's risk appetite.
- Advise on the design and distribution of insurance and non-insurance products, and support the handling of customer complaints.
- Coordinate with regional and Group functions to escalate and address risks and incidents, ensuring timely reporting.
- Promote awareness of legal and regulatory changes and maintain mechanisms for ongoing compliance.
- Conduct legal research and prepare corresponding reports and summaries.
- Lead the drafting and negotiation of contracts, legal documents, memorandums, presentations, and training materials.
- Draft and review various agreements including NDAs, contract extensions, renewals, and terminations.
- Manage the full contract lifecycle for Vietnam, ensuring compliance with signature rules and maintaining contract repositories.
- Assist in regulatory communications, particularly related to insurance and data privacy matters.
- Support the implementation of protocols for managing government and regulatory interactions.
- Help ensure the company remains prepared for evolving regulatory requirements.
- Proactively review and assess compliance risks.
- Ensure appropriate checks and balances are in place to identify and control risk areas.
- Support senior management in leading the in-country compliance function.
- Develop and execute the annual Compliance Plan, including risk assessments and business engagement.
- Provide regular compliance updates to local and Group senior management, committees, and the Board.
- Oversee the implementation of compliance systems, policies, and controls.
- Handle ad-hoc sanctions screening and conduct compliance checks on new business and claims.
- Maintain and update data privacy procedures and documentation.
- Advise senior management and board members on corporate governance matters in Vietnam.
- Perform or oversee company secretarial responsibilities for local business units.
- Liaise with the Group General Counsel & Company Secretary on governance issues.
- Maintain accurate and up-to-date corporate records using Diligent Entities.
- Qualified lawyer in Vietnam with 2-5 years of relevant experience (in-house or private practice), ideally in insurance or financial services.
- Strong verbal and written communication skills in both Vietnamese and English.
- Excellent interpersonal skills and the ability to work collaboratively.
- Detail-oriented with sound judgement and decision-making ability.
- Confident in working with senior stakeholders to support strategic decisions.
